  • Use the Product in any manner that violates any applicable laws, regulations, or third-party rights.
• Licensee shall not share, distribute, sublicense, lease, lend, or rent the Product or any part thereof to any third party.

Intellectual Property:

• The Product, including but not limited to all intellectual property rights therein, is and shall remain the sole property of Licensor. Licensee shall not acquire any ownership interest in the Product as a result of this License.
• Licensee may provide feedback to Licensor concerning the Product. Licensor may freely use and incorporate any suggestions, feedback, or ideas provided by Licensee into the Product without any obligation to compensate Licensee.

Payment and Term:

• Licensee agrees to pay the applicable fees as specified by Licensor for the use of the Product. Failure to pay fees may result in the suspension or termination of the License.

THE PRODUCT IS PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE PRODUCT WILL BE ERROR-FREE OR UNINTERRUPTED.

Limitation of Liability:

IN NO EVENT SHALL LICENSOR BE LIABLE TO LICENSEE OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE PRODUCT, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Governing Law and Jurisdiction:
